COMMUNICATION TO THE MARKET
Milano – May 23, 2024 – Inter Media and Communication S.p.A., sole manager and operator of the media, broadcast and sponsorship business of F.C. Internazionale Milano S.p.A. (“Inter”), was informed by Inter that on May 22, 2024 Inter received a notice from its shareholder Grand Tower S.à r.l. (“GT”) – holding a 68.55% stake in the share capital of Inter - with which it has been informed, inter alia, (i) of the enforcement of the pledge on the shares of Great Horizon S.à r.l. (sole shareholder of Grand Sunshine S.à r.l. which, in turn, is the sole shareholder of GT)(“GH”) by GLAS Trust Corporation Limited (“Security Agent”), as agent, and OCM Luxembourg Sunshine S.à r.l. (“OCM” an entity related to funds managed by/entities affiliated with Oaktree Capital Management, L.P. (“Oaktree”)), as vehicle designated, appointed and authorised by the Security Agent; and (ii) of the circumstance that, as a result of the aforesaid enforcement, OCM acquired direct control of 100% of the share capital of GH and, therefore, indirect control of Inter. On the same date Inter Media and Communication S.p.A. was further informed by Inter that the latter was informed that GH has also acquired control and ownership of LionRock Zuqiu Limited, a company that indirectly holds 31.05% of Inter’s shares through its subsidiary International Sports Capital S.p.A..
As a result of the above, Oaktree has acquired overall indirect control of 99.6% of the share capital of Inter.
No Change of Control Triggering Event is outstanding under the €415,000,000 Inter Media and Communication S.p.A. 6.750% Senior Secured Notes due 2027 (“Senior Notes”) and none of the events above have caused any Default or Event of Default under the Senior Notes. INTER MEDIA AND COMMUNICATION S.P.A ANNOUNCES PRICING OF ITS OFFERING OF €300.0 MILLION SENIOR SECURED NOTES
Milano, December 14th , 2017 Inter Media and Communication S.p.A (the “Issuer”), sole manager and operator of the media, broadcast and sponsorship business of FC Internazionale Milano S.p.A. (“Inter Milan” and together with the Issuer, the “Group”), today announces that it has priced its offering of €300.0 million in aggregate principal amount of 4.875% Senior Secured Notes due 2022 (the “Notes”).* The Notes, which represents the first bond placed on the international capital markets to a broad base of institutional investors by an Italian football group, attracted strong interest from a global institutional investor base and had an order book approximately two times oversubscribed. The Notes, settled on December 21st , 2017, will extend the maturity profile of the Group’s debt, while enhancing the Group’s financial flexibility with a financing structure enabling Inter Milan to pursue its long-term strategic goals. Inter Milan currently sits in first place of Italy’s Serie A, has qualified for the quarter-finals of the Italian TIM Cup and is preparing to celebrate its 110th anniversary in 2018. This landmark transaction demonstrates the credibility of Inter Milan as a company and its strength as a football club.
